a) The company must meet certain contractual obligations, such as maintaining a debt/equity ratio below a certain number.

b) Also, a company may issue equity to avoid making coupon and face value payments because it feels it will be unable to do so in the future.

c) Debt/equity swaps may also be carried out to rebalance a firm's weighted average cost of capital.
